DRAFT — for legal review

This page is a template. It must be reviewed by a legal adviser and every placeholder completed before launch.

These terms apply to the ViziCAL website, customer portal, web service and desktop software, sold and provided by MyXrayDose Limited ("MyXrayDose", "we", "us"), a company registered in New Zealand. "You" means the organisation that uses ViziCAL, and each person who uses it for that organisation. By creating an account, accepting an invitation, placing an order or using the software, you agree to these terms. If you accept them for an organisation, you confirm you can bind it. ## 1. Who ViziCAL is for ViziCAL is for businesses, such as hospitals, imaging centres and their contractors. It is not sold to consumers. You agree that you are acquiring it for business purposes. ## 2. Accounts and roles - Each organisation has one or more Customer Admins. They manage users, billing and settings. - Other users can be Technical (create and edit records) or View Only. - Keep your password and two-factor device secure. Don't share accounts. - You are responsible for what your users do in ViziCAL, and for removing users who leave. - Tell us quickly at support@vizical.com if you think an account has been misused. ## 3. Using the portal and web service While you follow these terms, we give you a non-exclusive, non-transferable right to use the portal and the web service for your organisation's internal business. You must not: - try to access another organisation's data, or get around security or licence checks; - copy, resell or provide ViziCAL to others, except as a distributor under a separate agreement; - reverse-engineer the software, except where the law allows it; - upload anything unlawful or harmful, or anything you have no right to upload; - upload patient information; - overload or disrupt the service, or use automated tools on it without our permission. ## 4. Distributors If your organisation is supported by a distributor: - The distributor can see your account, place orders for you and help you. It can view your account as one of your users; this is logged, and your Customer Admin can switch it off. - Orders a distributor places for you are billed to the distributor, on its terms with you. - The distributor is an independent business, not our agent. [How support, warranty and refund responsibilities are shared between the customer, the distributor and us.] ## 5. Software licences - A Workstation licence (connected licence) is a perpetual licence to use ViziCAL on one computer at a time. - A Standalone licence is a perpetual licence for one computer without the web service. It includes 12 months of software updates. - A licence is linked to one computer. You can release it from the portal or the software and use it on another computer. When you do, that computer's history is archived, emailed to your Customer Admins and then removed (see the [Privacy Policy](/privacy)). - [Full software licence terms: permitted use, updates for connected licences, support, and any end-user licence agreement shown in the installer.] ## 6. Web service - The web service stores calibration and QA records and reports from your licensed computers, and shows compliance in the portal. - It is switched on or off for the whole organisation. It is billed yearly, in advance, for each licence in use on a computer on the renewal date. Licences that started being used during the past year are charged pro rata. The first renewal charges the first year in arrears. - Earlier web service subscriptions continue until they end. - [PLACEHOLDER: Service levels and availability, planned maintenance, and support hours.] - [What happens to stored records when the web service ends, how long they are kept, and how to export them. Confirm whether the desktop software keeps working without it.] ## 7. Ask ViziCAL AI The desktop software includes an optional AI assistant. - Its answers are generated by an AI model and can be wrong or incomplete. Check them before acting. - It does not give medical or clinical advice, and it cannot confirm that a display is compliant or safe for diagnosis. - Your medical physicist or other qualified person stays responsible for QA decisions. - We may limit, change or switch off the assistant at any time. ## 8. Your responsibility for display quality ViziCAL helps you calibrate and check displays. It does not replace your quality-assurance programme or professional judgement. - You are responsible for choosing the standards and tolerances that apply to you, and for deciding whether a display is fit for clinical use. - Results depend on correct setup, a working measuring instrument and correct use. - [Regulatory status statement, only if confirmed. Do not state any medical device approval or clearance without documented evidence.] ## 9. Orders, prices and payment - Prices are in US dollars. New Zealand GST is added for customers in New Zealand. Sales to customers outside New Zealand are zero-rated for GST. You pay any other taxes and duties in your country. - Prices are those shown when you order. Distributor prices may differ. - You can pay by card through Stripe. Approved organisations can order with a purchase order; we then send an invoice through Xero, due within 30 days. - Web service renewals are invoiced yearly through Xero. - Photometers are shipped to the address you give. Shipping is charged per order. [Delivery times, risk and title, and import duties.] - [PLACEHOLDER: Late payment, refunds, returns and cancellations.] - We may suspend licences or the web service for unpaid invoices after giving notice. ## 10. Your data - You own the records you put into ViziCAL. You give us permission to store and process them to provide the service, as described in the [Privacy Policy](/privacy). - You can export reports and records from the portal. - [PLACEHOLDER: How customer data can be exported or returned when the agreement ends.] ## 11. Our intellectual property ViziCAL, its software, website and documentation belong to us or our licensors. These terms give you a licence to use them, not ownership. ## 12. Warranties [PLACEHOLDER: Lawyer to review this section.] - We will provide the service with reasonable care and skill. - Apart from that, and to the extent the law allows, ViziCAL is provided "as is". We do not promise it will be uninterrupted or error-free, or that it meets every standard you must follow. - You are in trade and acquiring ViziCAL for business purposes. So, to the extent the law allows, you agree that the Consumer Guarantees Act 1993 does not apply, and that the provisions of the Fair Trading Act 1986 that businesses may contract out of do not apply. You agree this is fair and reasonable. - Nothing in these terms limits rights that cannot be excluded by law, such as under the Australian Consumer Law. ## 13. Limitation of liability [PLACEHOLDER: Lawyer to review this section.] To the extent the law allows: - We are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill. - Our total liability under these terms in any 12 months is limited to [cap, e.g. the amount you paid us in those 12 months]. - These limits do not apply to fraud or anything else that cannot be limited by law. ## 14. Suspension and ending - You can stop using ViziCAL at any time. A Customer Admin can ask us to close the organisation. - We may suspend or close an account if you seriously breach these terms, don't pay, or put the service or other customers at risk. Where reasonable, we will warn you first and give you time to fix the problem. - When an account is closed, users can no longer sign in. Records are kept as described in the [Privacy Policy](/privacy). - Sections that by their nature should continue (such as payment, liability and governing law) continue after the account ends. ## 15. Changes to these terms We may change these terms. We will update the date at the top and tell Customer Admins about important changes [PLACEHOLDER: number] days before they take effect. If you keep using ViziCAL after that, the new terms apply. ## 16. Governing law These terms are governed by the laws of New Zealand. The courts of New Zealand have [PLACEHOLDER: exclusive / non-exclusive] jurisdiction. ## 17. Contact MyXrayDose Limited, Parnell, Auckland. Email: info@myxraydose.com. Effective date: [PLACEHOLDER: effective date, e.g. 1 December 2026].
